- Interpretation and Definitions
1.1 Interpretation
Words with capitalised initial letters have meanings defined in this section. These definitions apply equally whether used in singular or plural form.
1.2 Definitions
For purposes of these Terms and Conditions:
Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party. “Control” means the ownership of at least 50% of voting securities or equivalent rights.
Account means the unique client account you create to access our services or client portal.
Company, “We”, “Us”, or “Our” refers to A1 ACCOUNTING AND TAX (Pty) Ltd, 30 Sefako Makgatho Drive, Zambezi, Pretoria, 0182, South Africa (Registration number 2025/862196/07).
Client, “You”, or “Your” refers to the individual or legal entity purchasing or using Our services.
Device means any computer, tablet, smartphone, or technology used to access Our Website or Client Portal.
Engagement means the written or online acceptance of services provided by the Company.
Services refer collectively to bookkeeping, accounting, payroll, tax advisory, tax compliance, consulting, cloud-software onboarding, and other professional services.
Subscriptions refer to our monthly service packages (Essential, Growth, Premier), billed on a recurring basis.
Website refers to www.a1accountingtax.co.za.
Third-Party Platforms refer to software such as cloud-accounting systems, payroll platforms, SARS/eFiling, and banking feed services used in delivering our services.
- Acknowledgment
These Terms govern the relationship between You and the Company. By using Our Website, engaging Our Services, or subscribing to any monthly package, You confirm that You agree to be bound by these Terms and our Privacy Policy.
- Professional Services and Scope
We provide professional accounting, tax, payroll, consulting, and cloud-software integration services. Our accuracy depends on the completeness and accuracy of information you provide.
- Availability, Errors and Inaccuracies
We reserve the right to update, correct, or modify service information and pricing at any time.
- Pricing, Subscriptions & Payment Terms
Pricing is displayed on our Website or contained in formal quotations. Monthly packages are billed in advance. Non-payment may result in suspension of services or software access.
- Intellectual Property
All Website content, branding, materials, and templates remain the exclusive property of the Company.
- Third-Party Systems and Integrations
We rely on external platforms such as SARS eFiling, cloud accounting systems, payroll systems, and banking integrations. We are not liable for downtime, delays, or errors caused by third-party platforms.
- Termination of Services
You may terminate services with 30 days written notice. We may terminate for non-payment, breach of terms, or ethical obligations. All outstanding fees are payable upon termination.
- Limitation of Liability
Our total liability is limited to the amount paid by you for the service giving rise to the claim during the preceding 12 months. We are not liable for indirect or consequential damages.
- “AS IS” and “AS AVAILABLE” Disclaimer
We do not guarantee uninterrupted service, error-free operation, or compatibility of systems used in delivering services.
- Governing Law
These Terms are governed by the laws of the Republic of South Africa.
- Dispute Resolution
Parties agree to attempt informal resolution first before referring disputes to mediation, arbitration, or a South African court.
- Severability and Waiver
If any provision is invalid, remaining provisions remain enforceable. Failure to enforce rights does not constitute waiver.
- Changes to These Terms
We may revise these Terms at any time. Continued use constitutes acceptance of updated Terms.
